Peach Suite Pro SaaS License & Data Responsibility Agreement

This SaaS License & Data Responsibility Agreement (“Agreement”) is entered into between Just Peachy Data LLC, provider of Peach Suite Pro (“Just Peachy Data,” “Peach Suite Pro,” “PSP,” “we,” “us,” or “our”), and the business or organization subscribing to or using Peach Suite Pro (“Customer,” “Business,” “you,” or “your”).

By selecting “I have read and agree to the Peach Suite Pro SaaS License & Data Responsibility Agreement,” subscribing to Peach Suite Pro, or continuing to use the Service after accepting this Agreement, you acknowledge that you have read, understood, and agreed to this Agreement on behalf of the subscribing Business.

If you accept this Agreement on behalf of a business or other organization, you represent that you are authorized to bind that organization.

1. Peach Suite Pro Service

Peach Suite Pro is a cloud-based business operations platform developed and operated by Just Peachy Data LLC.

Depending on the Customer's subscription plan and enabled features, Peach Suite Pro may provide tools relating to business operations such as client management, appointments, calendars, public booking, websites, point-of-sale information, income and expenses, inventory, employees, business loans, communications, integrations, reporting, imports and exports, and other operational functions.

Features available to a Customer depend upon the Customer's subscription plan, configuration, third-party services, and features made available by Peach Suite Pro from time to time.

2. Limited SaaS License

Subject to payment of applicable fees and compliance with this Agreement, Just Peachy Data grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use Peach Suite Pro during the Customer's active subscription.

This Agreement does not transfer ownership of Peach Suite Pro software, source code, infrastructure, trademarks, designs, documentation, proprietary processes, databases, or intellectual property to the Customer.

The Customer receives a right to use the Service, not ownership of the Peach Suite Pro software.

3. Authorized Users

The Customer is responsible for determining who is authorized to access its Peach Suite Pro account, subject to the limitations of the Customer's subscription plan.

The Customer is responsible for:

maintaining accurate account information;
providing access only to authorized individuals;
assigning appropriate user permissions;
promptly removing access when an individual should no longer have access;
protecting passwords, verification credentials, and authentication devices; and
notifying Peach Suite Pro promptly if unauthorized access is suspected.

Each person must use their own authorized credentials where individual user accounts are provided.

Customers may not knowingly share credentials in a manner intended to bypass subscription, user, employee, provider, workspace, or access limitations.

4. Customer Data Ownership

The Customer retains ownership of the business data and Customer-provided content entered into Peach Suite Pro.

This may include, depending on the features used:

business information;
client or customer records;
appointment information;
services and pricing;
inventory records;
business financial records entered into PSP;
employee or provider information;
business calendar information;
website content;
marketing information;
uploaded files; and
other information submitted by or on behalf of the Customer.

Just Peachy Data does not acquire ownership of Customer Data merely because the Customer stores or processes that data through Peach Suite Pro.

5. Permission to Process Customer Data

The Customer grants Just Peachy Data permission to host, store, transmit, organize, process, back up, display, and otherwise use Customer Data as reasonably necessary to:

provide Peach Suite Pro;
perform requested functions;
maintain and secure the Service;
troubleshoot problems;
provide technical support;
prevent fraud, misuse, or security threats;
comply with applicable legal obligations; and
improve the reliability and operation of Peach Suite Pro.

Such processing does not transfer ownership of Customer Data to Just Peachy Data.

Additional information regarding privacy practices may be described in the Peach Suite Pro Privacy Policy, which is incorporated into the Customer's use of the Service as applicable.

6. Customer Data Responsibility

The Customer is responsible for the lawful collection, accuracy, use, retention, and disclosure of data that the Customer enters into or processes through Peach Suite Pro.

Peach Suite Pro provides software tools. The Customer remains responsible for how those tools are used in the Customer's business.

The Customer represents that it has the rights, permissions, notices, authorizations, and consents required to collect and process information submitted to Peach Suite Pro.

This responsibility includes information relating to the Customer's own clients, customers, employees, contractors, providers, subscribers, and other individuals.

7. Sensitive and Regulated Information

The Customer is responsible for determining whether its business is subject to industry-specific privacy, recordkeeping, professional, employment, health, financial, communications, or other regulatory requirements.

Unless Peach Suite Pro expressly states in writing that a particular feature or service is designed for compliance with a particular regulated-data framework, the Customer should not assume that Peach Suite Pro independently satisfies every regulatory obligation applicable to the Customer's business.

The Customer should not place information into Peach Suite Pro that the Customer is not legally permitted to collect, store, or process.

8. Accuracy of Customer Data

Peach Suite Pro may assist with organizing, importing, displaying, calculating, reconciling, summarizing, or reporting information.

The Customer remains responsible for reviewing the accuracy and completeness of business information used to make decisions.

Peach Suite Pro does not guarantee that information supplied by the Customer, imported from another system, obtained through a third-party integration, or entered by another authorized user is accurate.

Where Peach Suite Pro identifies missing, conflicting, or ambiguous imported information, the Service may require review rather than automatically inventing or assuming missing values.

9. Imports and Exports

Customers may be able to import data into or export data from Peach Suite Pro.

The Customer is responsible for ensuring that:

imported data was obtained lawfully;
imported data belongs to the Customer or may legally be processed by the Customer;
imported information is reviewed for accuracy;
exported information is stored and handled securely after leaving Peach Suite Pro; and
any required record-retention obligations are satisfied.

Peach Suite Pro may reject, flag, hold, or require review of data that cannot be reliably interpreted.

10. Data Backups and Business Records

Peach Suite Pro may maintain operational backups, redundancy, recovery systems, and other safeguards intended to protect the Service and Customer Data.

However, Peach Suite Pro is not a substitute for every Customer's independent record-retention or archival obligations.

Customers should maintain exports or other independent copies of records when required by law, professional standards, contractual obligations, business-continuity requirements, or the Customer's own policies.

Operational platform backups do not create a promise that every individual record can be restored to any particular prior state or that Customers will have direct access to backup systems.

11. Security Responsibilities

Just Peachy Data will use commercially reasonable administrative, technical, and operational safeguards appropriate to the nature of the Service.

Security is also a shared responsibility. The Customer is responsible for:

protecting login credentials;
using secure devices and networks;
preventing unauthorized account sharing;
maintaining control of employee and provider access;
reviewing user access when staffing changes occur;
protecting exported files;
securing third-party accounts connected to Peach Suite Pro; and
notifying Peach Suite Pro promptly of suspected compromise.

No internet-based service can guarantee absolute security.

12. Third-Party Services and Integrations

Peach Suite Pro may integrate with or rely upon third-party services, which may include payment processors, email providers, telecommunications providers, hosting providers, cloud services, accounting or point-of-sale platforms, artificial-intelligence providers, and other external systems.

Examples may include services such as Square, Stripe, Mailgun, Telnyx, OpenAI, or other providers used by Peach Suite Pro now or in the future.

Third-party services are governed by their own availability, policies, agreements, technical requirements, and service limitations.

Peach Suite Pro is not responsible for outages, policy changes, data errors, account restrictions, service discontinuation, or acts or omissions of third-party providers that are outside Just Peachy Data's reasonable control.

The Customer is responsible for maintaining any third-party account or authorization required for an integration the Customer chooses to use.

13. Payment Processing

Where Peach Suite Pro connects to a payment processor, Peach Suite Pro is not itself the financial institution or card network processing the Customer's payment transactions unless expressly stated otherwise.

Payment transactions may be processed by third-party providers under their separate terms.

The Customer is responsible for the accuracy of its payment configuration, refund practices, tax treatment, transaction review, and compliance obligations relating to its sales.

14. SMS, Email, and Customer Communications

If the Customer uses Peach Suite Pro to send or manage SMS, email, marketing, appointment, or other communications, the Customer is responsible for ensuring that recipients have been contacted lawfully.

Use of messaging functionality may also be subject to separate Peach Suite Pro documents, including applicable SMS & Email Terms, SMS Consent requirements, Opt-In / Opt-Out requirements, and SMS compliance guidance.

The Customer is responsible for honoring consent, opt-out, suppression, and communication-preference requirements applicable to its communications.

Acceptance of this Agreement does not replace any separate consent or compliance requirements applicable to messaging services.

15. PeachBook and Public Booking

Where Peach Suite Pro provides public booking through PeachBook or similar functionality, the Customer is responsible for:

the services it offers;
pricing;
availability;
provider schedules;
cancellation policies;
business hours;
service descriptions;
customer communications; and
fulfilling appointments or services booked through its business.

Peach Suite Pro provides the booking technology but is not the provider of the Customer's underlying services.

16. PeachWeb and Customer Website Content

Where Peach Suite Pro provides PeachWeb or other website functionality, the Customer is responsible for business-specific content it chooses to publish.

The Customer represents that it has the right to publish uploaded text, photographs, graphics, trademarks, logos, testimonials, and other content.

The Customer may not use PeachWeb or Peach Suite Pro to publish unlawful, deceptive, infringing, harmful, or malicious content.

17. Coach Peach and Artificial Intelligence

Peach Suite Pro may provide optional artificial-intelligence-assisted features, including Coach Peach or other AI-enabled tools.

AI-generated information may contain errors, incomplete information, or recommendations that are inappropriate for a particular business.

AI output is provided to assist the Customer and does not replace the Customer's professional judgment.

The Customer remains responsible for reviewing AI-generated content before relying upon, publishing, communicating, or acting upon it.

Peach Suite Pro is designed around the principle that Customer business data remains the Customer's data. AI features should use only information reasonably necessary for the requested function, subject to available privacy and configuration controls.

Customers should not intentionally submit sensitive personal information to AI functionality unless the feature expressly supports that use and the Customer is authorized to do so.

18. No Professional Advice

Peach Suite Pro may provide summaries, calculations, operational information, reminders, reports, recommendations, or AI-assisted guidance.

Such information is provided for business operational assistance and is not a substitute for professional legal, accounting, tax, medical, employment, financial, regulatory, or other licensed professional advice.

Customers are responsible for consulting qualified professionals where appropriate.

19. Subscription Plans and Feature Availability

Features are provided according to the Customer's subscription plan and any separately purchased services or add-ons.

Just Peachy Data may improve, modify, replace, reorganize, or discontinue features as Peach Suite Pro evolves.

Material reductions affecting a paid subscription will be handled in accordance with applicable law and the Customer's subscription terms.

Features identified as beta, preview, experimental, or early access may change or be discontinued without the same expectations as generally available production features.

20. Fees, Billing, and Renewal

Subscription fees, billing intervals, discounts, add-ons, taxes, and other charges are presented during signup or otherwise disclosed to the Customer.

Unless otherwise stated, subscriptions may automatically renew until canceled.

The Customer authorizes applicable recurring charges according to the subscription selected.

Failure to pay amounts due may result in restrictions, suspension, or termination of Service after any applicable notice or grace period.

Third-party payment processors may separately process the Customer's subscription payment.

21. Free Trials and Promotional Offers

Peach Suite Pro may offer free trials, discounts, credits, promotional pricing, or other offers.

Promotional terms may be limited by duration, eligibility, plan, quantity, or other conditions.

Unless expressly stated otherwise, expiration of a promotion does not prevent the underlying subscription from continuing at the then-applicable subscription price.

22. Acceptable Use

Customers and authorized users may not use Peach Suite Pro to:

violate applicable law;
gain unauthorized access to systems or information;
introduce malicious code;
interfere with Service availability or security;
attempt to bypass access or subscription controls;
reverse engineer the Service except where expressly permitted by law;
copy or resell proprietary Peach Suite Pro software;
impersonate another person or business;
distribute spam or unlawful communications;
infringe intellectual-property rights;
engage in fraud or deceptive practices; or
use the Service in a manner that materially harms Peach Suite Pro, Just Peachy Data, other customers, or third parties.

23. Peach Suite Pro Intellectual Property

Peach Suite Pro, PeachBook, PeachPOS, PeachWeb, Coach Peach, related software, interfaces, designs, graphics, documentation, workflows, trademarks, service marks, branding, proprietary technology, and other Just Peachy Data materials remain the property of Just Peachy Data LLC or its licensors.

Except for the limited right to use the Service under this Agreement, no intellectual-property rights are transferred to the Customer.

Customer Data remains subject to Section 4 of this Agreement.

24. Feedback

If a Customer voluntarily provides suggestions, ideas, feature requests, or other feedback concerning Peach Suite Pro, Just Peachy Data may use that feedback to improve its products and services without creating an obligation to compensate the Customer.

This does not grant Just Peachy Data ownership of the Customer's business data.

25. Service Availability and Maintenance

Just Peachy Data will use reasonable efforts to maintain reliable availability of Peach Suite Pro.

However, uninterrupted availability cannot be guaranteed.

Service interruptions may result from:

maintenance;
software updates;
infrastructure failures;
internet outages;
third-party service failures;
cybersecurity events;
emergency repairs;
natural disasters;
governmental actions; or
circumstances beyond Just Peachy Data's reasonable control.

Where practical, scheduled maintenance may be performed in a manner intended to reduce business disruption.

26. Suspension

Just Peachy Data may suspend access where reasonably necessary to:

respond to a security threat;
prevent unauthorized use;
protect Customer Data;
prevent harm to the Service or other users;
address material nonpayment;
comply with law or legal process; or
investigate a material violation of this Agreement.

Where circumstances reasonably permit, Just Peachy Data will attempt to provide notice and an opportunity to correct the issue.

27. Cancellation and Termination

The Customer may cancel its subscription according to the cancellation process provided by Peach Suite Pro.

Cancellation generally prevents future renewal but does not automatically entitle the Customer to refunds for charges already incurred unless required by law or expressly provided by another applicable agreement.

Just Peachy Data may terminate an account for material violation of this Agreement, unlawful use, fraud, serious security abuse, or persistent nonpayment.

28. Access to Customer Data After Termination

Customers are responsible for exporting records they are required to retain.

Following cancellation or termination, Peach Suite Pro may provide a limited period for access or export where commercially reasonable and technically available.

After applicable retention periods, Customer Data may be deleted, anonymized, or otherwise removed from active systems, subject to:

legal requirements;
fraud or security obligations;
financial recordkeeping requirements;
backup retention cycles; and
legitimate business records that Just Peachy Data is permitted or required to retain.

Deletion from active systems may not immediately remove information from encrypted operational backups, which may expire according to ordinary backup-retention cycles.

29. Privacy

Use of Peach Suite Pro is also subject to the applicable Peach Suite Pro Privacy Policy.

The Privacy Policy describes how Just Peachy Data collects, uses, protects, and handles information associated with the Service.

Where there is a conflict specifically concerning privacy practices, the more specific applicable privacy provision will govern to the extent required by law.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEACH SUITE PRO IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

JUST PEACHY DATA DOES NOT WARRANT THAT THE SERVICE WILL BE COMPLETELY ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY BUSINESS PURPOSE OR REGULATORY REQUIREMENT.

Nothing in this section excludes warranties that cannot lawfully be disclaimed.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUST PEACHY DATA LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM USE OF OR INABILITY TO USE PEACH SUITE PRO.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUST PEACHY DATA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO JUST PEACHY DATA FOR PEACH SUITE PRO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply only to the extent permitted by applicable law.

32. Customer Indemnification

To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless Just Peachy Data LLC and its owners, employees, contractors, and affiliates from third-party claims, damages, penalties, liabilities, or reasonable expenses arising from:

Customer Data the Customer was not authorized to collect or process;
unlawful communications initiated by the Customer;
infringement caused by Customer-provided content;
the Customer's violation of applicable law;
the Customer's misuse of Peach Suite Pro; or
material violation of this Agreement by the Customer.

33. Changes to this Agreement

Just Peachy Data may update this Agreement as Peach Suite Pro evolves or as legal, security, operational, or regulatory requirements change.

Each material version will be assigned a version number and effective date.

Where renewed acceptance is appropriate, Peach Suite Pro may require the Business Owner or another authorized representative to affirmatively accept the revised Agreement before continuing certain use of the Service.

Prior acceptance records may be retained as part of Peach Suite Pro's business and compliance records.

34. Electronic Acceptance and Records

The Customer agrees that electronic acceptance of this Agreement has the same effect as a written signature to the extent permitted by applicable law.

Peach Suite Pro may maintain records associated with acceptance, including:

agreement version;
date and time of acceptance;
business or signup identifier;
account or authorized-user identifier when available;
technical information reasonably associated with acceptance, such as IP address or browser/user-agent information; and
related subscription records.

These records may be used to establish which version of the Agreement was accepted and when.

35. Assignment

The Customer may not transfer or assign this Agreement or its Peach Suite Pro subscription to another person or business without authorization from Just Peachy Data, except as permitted through an approved ownership-transfer process.

Just Peachy Data may assign this Agreement in connection with a merger, acquisition, reorganization, sale of assets, or similar business transaction.

36. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, widespread utility or internet failures, governmental actions, labor disruptions, war, terrorism, civil emergencies, or major failures of third-party infrastructure.

This provision does not excuse payment obligations for services already provided.

37. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to this Agreement will be handled in a court of competent jurisdiction as permitted by applicable law.

38. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

An unenforceable provision will be interpreted or modified only as necessary to make it enforceable while preserving its intended purpose where possible.

39. Waiver

Failure by either party to enforce a provision of this Agreement does not permanently waive that provision or any other right.

40. Entire Agreement and Related Policies

This Agreement, together with applicable subscription terms, privacy policies, messaging terms, consent policies, plan terms, and other policies expressly incorporated into the Customer's use of Peach Suite Pro, forms the agreement governing the applicable Service.

More specific terms governing a particular feature may control over general terms in this Agreement with respect to that feature.

41. Contact and Support

Questions regarding this Agreement or Peach Suite Pro may be submitted through the official Peach Suite Pro Support Center or other contact method published by Just Peachy Data LLC.

Acceptance

By selecting the agreement checkbox during Peach Suite Pro signup, the Customer confirms:

I have read and agree to the Peach Suite Pro SaaS License & Data Responsibility Agreement, Version 1.0, and I represent that I am authorized to accept this Agreement on behalf of the subscribing Business.

Peach Suite Pro is developed by Just Peachy Data LLC.
